The Awardholder’s Continuous Service shall not be deemed to have terminated merely because of a change in the capacity in which the Awardholder renders service to the Company or an Affiliate as an Employee, Consultant or Director or a change in the entity for which the Awardholder renders such service, provided that there is no interruption or termination of the Awardholder’s Continuous Service. For example, a change in status from an Employee of the Company to a Consultant of an Affiliate or a Director of the Company will not constitute an interruption of Continuous Service. The Board or the chief executive officer of the Company, in that party’s sole discretion, may determine whether Continuous Service shall be considered interrupted in the case of any leave of absence approved by that party, including sick leave, military leave or any other personal leave.(j) 「持續任職服務」係指本公司或其關係企業之員工、董事或顧問等受獎勵人之任職服務不中斷或終止。只要受獎勵人之持續任職服務並無發生中斷或終止,不應僅因其所任員工、董事或顧問身分在本公司其關係企業中之職務發生變動,或在各企業體中所提供之服務發生變動,而被視為終止。舉例而言,本公司員工轉為擔任關係企業顧問或本公司董事之職務變動,並不構成持續任職服務之中斷或終止。本公司之董事或執行長得依其裁量,就經其同意之休假決定持續任職服務是否應被認定為中斷,包含病假、軍公假或其他個人因素之休假。(k)“Covered Employee” means the chief executive officer and the four (4) other highest compensated officers of the Company for whom total compensation is required to be reported to shareholders under the Exchange Act, as determined for purposes of Section 162(m) of the Code.(k) 「所涵蓋員工」係指本公司執行長及證交法本於法案第162(m)目的所定須向股東申報總體報酬中,獲得最高報酬之前4名員工。(l)“Director” means a member of the Board of Directors of the Company.(l) 「董事」係指係指本公司董事會之成員(m)“Disability” means (i) before the Listing Date, the inability of a person, in the opinion of a qualified physician acceptable to the Company, to perform the major duties of that person’s position with the Company or an Affiliate of the Company because of the sickness or injury of the person and (ii) after the Listing Date, the permanent and total disability of a person within the meaning of Section 22(e)(3) of the Code.(m) 「無行為能力」係指(i)在上市日之前,因疾病或傷害,被本公司所接受之合格醫師針對在本公司或其關係企業中所任職務執行主要任務之能力,判定為無行為能力人,以及(ii)在上市日之後,依法案第22(e)(3)條定義之永久與完全無行為能力。(n)“Employee” means any person employed by the Company or an Affiliate. Each Option Agreement shall be subject to the terms and conditions of the Plan.(w) 「認股權合約」係指本公司與認股權人間表明個別認股權授予之條款與條件之書面合約。各認股權合約應適用本計畫之條款與條件。(w)“Optionholder” means a person to whom an Option is granted pursuant to the Plan or, if applicable, such other person who holds an outstanding Option. (x) 「認股權人」係指根據本計畫授予認股權之人,或其他持有已發行認股權之人(如適用)。(x)“Outside Director” means a Director of the Company who either (i) is not a current employee of the Company or an “affiliated corporation” (within the meaning of Treasury Regulations promulgated under Section 162(m) of the Code), is not a former employee of the Company or an “affiliated corporation” receiving compensation for prior services (other than benefits under a tax qualified pension plan), was not an officer of the Company or an “affiliated corporation” at any time and is not currently receiving direct or indirect remuneration from the Company or an “affiliated corporation” for services in any capacity other than as a Director or(ii) is otherwise considered an “outside director” for purposes of Section 162(m) of the Code. (aa) 「本計畫」係指中美冠科生物技術有限公司2013認股權計畫及其修正與重述。(bb)“Restricted Share” means a share of Common Stock awarded under the Plan.(bb) 「限制型股份」係指依本計畫所獎勵之普通股股份。(cc) “Restricted Share Agreement” means a written agreement between the Company and a Participant evidencing the terms and conditions of an individual Restricted Share grant. Each Restricted Share Agreement shall be subject to the terms and conditions of the Plan.(cc) 「限制型股份合約」係指本公司與參與者間表明所授予個別限制型股份之條款與條件之書面合約。各限制型股份合約應適用本計畫之條款與條件。(dd) “Rule 16b-3” means Rule 16b-3 promulgated under the Exchange Act or any successor to Rule 16b-3, as in effect from time to time. (dd) 「第16b-3條」係指按證交法所頒佈仍具效力之規則第16b-3條或其任何繼任之規則。(ee)“Securities Act” means the Securities Act of 1933, as amended.(ee) 「有價證券法」係指1933年證券交易法及其修正。(ff) “Stock Unit” means a bookkeeping entry representing the right of the Participant to receive either one share of Common Stock or an amount of cash equal to the Fair Market Value of one share of Common Stock, as determined by the Board.(ff) 「股份單位」係指登記名簿所載明,參與者依董事會決定所取得普通股一股(或相當於普通股一股公平市價之現金價格)的權利。(gg) “Stock Unit Agreement” means a written agreement between the Company and a Participant evidencing the terms and conditions of an individual Stock Unit grant. Each Stock Unit Agreement shall be subject to the terms and conditions of the Plan.(gg) 「股份單位合約」係指本公司與參與者間表明所授予個別股份單位之條款與條件之書面合約。各股份單位合約應適用本計畫之條款與條件。(hh) “Ten Percent Shareholder” means a person who owns (or is deemed to own pursuant to Section 424(d) of the Code) stock possessing more than ten percent (10%) of the total combined voting power of all classes of stock of the Company or of any of its Affiliates. (hh) 「持股百分之十股東」係指任何持有(或按法案第424(d)條視為持有)本公司或其任何關係企業所有種類股份之表決權總數超過百分之十(10%)之人。3.ADMINISTRATION.3. 管理(a)Administration by Board. The Board shall administer the Plan unless and until the Board delegates administration to a Committee, as provided in subsection 3(c).(a) 董事會管理 董事會應管理本計畫除非且直到董事會依第3(c)條授權委員會管理。(b)Powers of Board. The Board may delegate administration of the Plan to a Committee or Committees of one or more members of the Board, and the term “Committee” shall apply to any person or persons to whom such authority has been delegated. If administration is delegated to a Committee, the Committee shall have, in connection with the administration of the Plan, the powers theretofore possessed by the Board, including the power to delegate to a subcommittee any of the administrative powers the Committee is authorized to exercise (and references in this Plan to the Board shall thereafter be to the Committee or subcommittee), subject, however, to such resolutions, not inconsistent with the provisions of the Plan, as may be adopted from time to time by the Board. The Board may abolish the Committee at any time and revest in the Board the administration of the Plan.(i) 通常條款 董事會在與本計畫條款無不一致之前提下,得不定時決議將本計畫之管理權力授權予董事會一名或多名成員組成之單一或多數委員會,且「委員會」用語得適用於任何單一或多數人取得該授予權限之情形。於授權委員會管理時,委員會就本計畫之管理,享有董事會之權限,包括將其被授權行使之管理權力再度授權予小組(本計畫涉及董事會之內容應隨之及於委員會及小組)。董事會得隨時廢除委員會並重新賦予董事會本計畫之管理權力。(ii)Committee Composition when Common Stock is Publicly Traded. At such time as the Common Stock is publicly traded, in the discretion of the Board, a Committee may consist solely of two or more Outside Directors, in accordance with Section 162(m) of the Code, and/or solely of two or more Non-Employee Directors, in accordance with Rule 16b-3. Within the scope of such authority, the Board or the Committee may (i) delegate to a committee of one or more members of the Board who are not Outside Directors the authority to grant Awards to eligible persons who are either (1) not then Covered Employees and are not expected to be Covered Employees at the time of recognition of income resulting from such Award or (2) not persons with respect to whom the Company wishes to comply with Section 162(m) of the Code and/or) (ii) delegate to a committee of one or more members of the Board who are not Non-Employee Directors the authority to grant Awards to eligible persons who are not then subject to Section 16 of the Exchange Act.(ii) 委員會於普通股公開交易時組成 於普通股公開交易時,依董事會裁量,委員會得依法案第162(m)條規定,完全由兩名或兩名以上外部董事組成,及/或依規則第16b-3條規定,完全由兩名或兩名以上非員工董事組成。於授權範圍內,董事會或委員會得(i)授權予一名或一名以上董事會中非外部董事成員組成之委員會,以授予獎勵給符合資格之(1)非「所涵蓋員工」且認定收入時仍不預期為「所涵蓋員工」之人員或(2)非符合法案第162(m)條所認定之人員,及/或(ii)授權予一名或一名以上董事會中之非員工董事組成之委員會,以授予獎勵給非依證交法第16條規定符合資格之人員。4.SHARES SUBJECT TO THE PLAN.4. 本計畫之股份(a)Share Reserve. Subject to the provisions of Section 10 relating to adjustments upon changes in stock, the stock that may be issued pursuant to Awards shall not exceed in the aggregate ten million (10,000,000) shares of Common Stock.(a) 股份保留 依第10條關於股份變動之調整,獎勵所發行之股份不應超過一千萬(10,000,000)普通股。(b)Reversion of Shares to the Share Reserve. If any Award shall for any reason expire or otherwise terminate, in whole or in part, without having been exercised or settled in full, the stock not acquired under such Award shall revert to and again become available for issuance under the Plan. If any Common Stock acquired pursuant to an Award shall for any reason be repurchased by the Company under an unvested share repurchase option provided under the Plan, the stock repurchased by the Company under such repurchase option shall not revert to and again become available for issuance under the Plan.(b) 股份保留所保留之股份 如獎勵因任何原因屆期或終止致全數或部分尚未行使或結算,該獎勵之未認購股份應轉為本計畫再次發行之用。如根據獎勵所認購之普通股,本公司因故須按本計畫買回未行使股份之認購權,則本公司就該買回認購權所買回之股份不應轉為本計畫再次發行之用。(c)Source of Shares. The stock subject to the Plan may be unissued shares or reacquired shares, bought on the market or otherwise.(c) 股份來源 本計畫之股份得為未發行之股份或自市場上購得之股份。5.ELIGIBILITY.5. 資格(a)Eligibility for Specific Options. Incentive Stock Options may be granted only to Employees. Nonstatutory Stock Options may be granted to Employees, Directors and Consultants.(a) 特定認股權之資格 激勵認股權僅得授予員工。非法定型認股權得授予員工、董事及顧問。(b)Ten Percent Shareholders. No Ten Percent Shareholder shall be eligible for the grant of an Incentive Stock Option unless the exercise price of such Option is at least one hundred ten percent (110%) of the Fair Market Value of the Common Stock at the date of grant and the Option is not exercisable after the expiration of five (5) years from the date of grant.(b) 持股百分之十股東 持股百分之十股東應無被授予激勵型認股權之資格,除非其認股權行使價格至少達授予之日每股公平市價之百分之一百十(110%)且該認股權於授予日後五(5)年即不得行使。Prior to the Listing Date, no Ten Percent Shareholder shall be eligible for the grant of a Nonstatutory Stock Option unless the exercise price of such Option is at least one hundred ten percent (110%) of the Fair Market Value of the Common Stock at the date of grant.在上市日之前,持股百分之十股東應無被授予非法定型認股權之資格,除非其認股權行使價格至少達授予之日每股公平市價之百分之一百十(110%)。(c)Section 162(m) Limitation. Subject to the provisions of Section 10 relating to adjustments upon changes in stock, no employee shall be eligible to be granted Options covering more than Five Million (5,000,000) shares of the Common Stock during any calendar year. This subsection 5(c) shall not apply prior to the Listing Date and, following the Listing Date, this subsection 5(c) shall not apply until (i) the earliest of: (1) the first material modification of the Plan (including any increase in the number of shares reserved for issuance under the Plan in accordance with Section 4); (2) the issuance of all of the shares of Common Stock reserved for issuance under the Plan; (3) the expiration of the Plan; or (4) the first meeting of shareholders at which Directors of the Company are to be elected that occurs after the close of the third calendar year following the calendar year in which occurred the first registration of an equity security under Section 12 of the Exchange Act; or (ii) such other date required by Section 162(m) of the Code and the rules and regulations promulgated thereunder.(c) 第162(m)條限制 依第10條關於股份變動調整之規定,任何員工在任何年度均無被授予超過五百萬(5,000,000)普通股股份認股權之資格。本5(c)條於上市日前不適用,且上市日後本5(c)條亦不適用直到(i)下列何者最先發生:(1)本計畫第一次重大修改(包含根據本計畫第4條保留予發行之股份數額提高);(2)本計畫所有保留予發行之普通股股份全數發行;(3)本計畫期間屆滿;(4)依證交法第12條規定股權證券進行第一次註冊之年度後第三年度結束所召開選任本公司董事之第一次股東會;或(ii)按法案第162(m)條及其所頒布之規定與規則要求之其他日期。6.OPTION PROVISIONS.6. 認股權條款Each Option shall be in such form and shall contain such terms and conditions as the Board shall deem appropriate. All Options shall be separately designated Incentive Stock Options or Nonstatutory Stock Options at the time of grant, and a separate certificate or certificates will be issued for shares purchased on exercise of each type of Option. Subject to the provisions of subsection 5(b) regarding Ten Percent Shareholders, no Option shall be exercisable after the expiration of ten (10) years from the date it was granted. Subject to the provisions of subsection 5(b) regarding Ten Percent Shareholders, the exercise price of each Incentive Stock Option shall be not less than one hundred percent (100%) of the Fair Market Value of the stock subject to the Option on the date the Option is granted. Notwithstanding the foregoing, an Incentive Stock Option may be granted with an exercise price lower than that set forth in the preceding sentence if such Option is granted pursuant to an assumption or substitution for another option in a manner satisfying the provisions of Section 424(a) of the Code. Subject to the provisions of subsection 5(b) regarding Ten Percent Shareholders, the exercise price of each Nonstatutory Stock Option granted prior to the Listing Date shall be not less than eighty-five percent (85%) of the Fair Market Value of the stock subject to the Option on the date the Option is granted. The exercise price of each Nonstatutory Stock Option granted on or after the Listing Date shall be not less than eighty-five percent (85%) of the Fair Market Value of the stock subject to the Option on the date the Option is granted. Notwithstanding the foregoing, a Nonstatutory Stock Option may be granted with an exercise price lower than that set forth in the preceding sentence if such Option is granted pursuant to an assumption or substitution for another option in a manner satisfying the provisions of Section 424(a) of the Code. The purchase price of stock acquired pursuant to an Option shall be paid, to the extent permitted by applicable statutes and regulations, either (i) in cash at the time the Option is exercised or (ii) at the discretion of the Board at the time of the grant of the Option (or subsequently in the case of a Nonstatutory Stock Option) by (1) delivery to the Company of other Common Stock, (2) according to a deferred payment or other arrangement (which may include, without limiting the generality of the foregoing, the use of other Common Stock) with the Optionholder or (3) in any other form of legal consideration that may be acceptable to the Board; provided, however, that at any time that the Company is incorporated in Delaware, payment of the Common Stock’s “par value,” as defined in the Delaware General Corporation Law, shall not be made by deferred payment.(d) 對價 認股權認購股份之價格應按其應適用之法規與規則支付,(i)於行使認購權時支付現金,或(ii)董事會授予認股權時裁量(或非法定型認股權隨後裁量)(1)交付本公司之其他普通股給本公司,(2)根據與認股權人間之延期付款或其他協議(包括但不限於交付本公司之其他普通股),或(3)其他董事會可接受之法律上對價。但本公司如於任何時間係於德拉瓦州設立時,依德拉瓦州公司法定義之普通股票面金額不得延期付款。In the case of any deferred payment arrangement, interest shall be compounded at least annually and shall be charged at least at the minimum rate of interest necessary to avoid the treatment as interest, under any applicable provisions of the Code, of any amounts other than amounts stated to be interest under the deferred payment arrangement.於任何延期付款協議中,利息至少應每年以複利計算,且至少以最低利率計算以避免該延期付款協議中非利息之數額依法案應適用之條款被認定為利息。(e)Transferability of an Incentive Stock Option. A Nonstatutory Stock Option granted prior to the Listing Date shall not be transferable except by will or by the laws of descent and distribution and shall be exercisable during the lifetime of the Optionholder only by the Optionholder. A Nonstatutory Stock Option granted on or after the Listing Date shall be transferable to the extent provided in the Option Agreement. If the Nonstatutory Stock Option does not provide for transferability, then the Nonstatutory Stock Option shall not be transferable except by will or by the laws of descent and distribution and shall be exercisable during the lifetime of the Optionholder only by the Optionholder. Notwithstanding the foregoing provisions of this subsection 6(f), the Optionholder may, by delivering written notice to the Company, in a form satisfactory to the Company, designate a third party who, in the event of the death of the Optionholder, shall thereafter be entitled to exercise the Option. The total number of shares of Common Stock subject to an Option may, but need not, vest and therefore become exercisable in periodic installments which may, but need not, be equal. The Option may be subject to such other terms and conditions on the time or times when it may be exercised (which may be based on performance or other criteria) as the Board may deem appropriate. The vesting provisions of individual Options may vary. The provisions of this subsection 6(g) are subject to any Option provisions governing the minimum number of shares as to which an Option may be exercised.(g) 通常行使 依認股權所設之普通股總股數得(非必須)以定期性均等(非必須)方式,供分次行使。於認股權得行使時,可不定時(基於其執行或其他標準)按董事會認為妥適之方式,適用其他條款與條件。個別認股權之行使條款得有不同。第6(g)條應適用規範認股權行使最低股份數之認股權條款。 (h)Minimum Vesting Prior to the Listing Date. Notwithstanding the foregoing subsection 6(g), Options granted prior to the Listing Date shall provide for vesting of the total number of shares at a rate of at least twenty percent (20%) per year over five (5) years from the date the Option was granted, subject to reasonable conditions such as continued employment. However, in the case of such Options granted to Officers, Directors or Consultants, the Option may become fully exercisable, subject to reasonable conditions such as continued employment, at any time or during any period established by the Company; for example, the vesting provision of the Option may provide for vesting of less than twenty percent (20%) per year of the total number of shares subject to the Option. In the event an Optionholder’s Continuous Service terminates (other than upon the Optionholder’s death or Disability), the Optionholder may exercise his or her Option (to the extent that the Optionholder was entitled to exercise it as of the date of termination) but only within such period of time ending on the earlier of (i) the date three (3) months following the termination of the Optionholder’s Continuous Service (or such longer or shorter period specified in the Option Agreement, which, for Options granted prior to the Listing Date, shall not be less than thirty (30) days, unless such termination is for cause), or (ii) the expiration of the term of the Option as set forth in the Option Agreement. If, after termination, the Optionholder does not exercise his or her Option within the time specified in the Option Agreement, the Option shall terminate. An Optionholder’s Option Agreement may also provide that if the exercise of the Option following the termination of the Optionholder’s Continuous Service (other than upon the Optionholder’s death or Disability) would be prohibited at any time solely because the issuance of shares would violate the registration requirements under the Securities Act, then the Option shall terminate on the earlier of (i) the expiration of the term of the Option set forth in subsection 6(a) or (ii) the expiration of a period of three (3) months after the termination of the Optionholder’s Continuous Service during which the exercise of the Option would not be in violation of such registration requirements. In the event an Optionholder’s Continuous Service terminates as a result of the Optionholder’s Disability, the Optionholder may exercise his or her Option (to the extent that the Optionholder was entitled to exercise it as of the date of termination), but only within such period of time ending on the earlier of (i) the date twelve (12) months following such termination (or such longer or shorter period specified in the Option Agreement, which, for Options granted prior to the Listing Date, shall not be less than six (6) months) or (ii) the expiration of the term of the Option as set forth in the Option Agreement. If, after termination, the Optionholder does not exercise his or her Option within the time specified herein, the Option shall terminate.(k) 認股權人之無行為能力 在認股權人終止其持續任職服務之事由係因認股權人之無行為能力所致之情況,認股權人得於終止日至以下最先到達日期間,行使其認股權(在認股權人有權行使認股權之時間及範圍內),:(i) 終止系爭持續任職服務十二(12)個月後當日(或認股權合約內有特定較長或較短之期間,若係於上市日前已授予之認股權,期間不應短於六(6)個月);或 (ii) 本計畫所約定之認股權期間屆滿。如於終止後,認股權人未於上開特定期間行使其認股權,認股權應予終止。(l)Death of Optionholder. In the event (i) an Optionholder’s Continuous Service terminates as a result of the Optionholder’s death or (ii) the Optionholder dies within the period (if any) specified in the Option Agreement after the termination of the Optionholder’s Continuous Service for a reason other than death, then the Option may be exercised (to the extent the Optionholder was entitled to exercise the Option as of the date of death) by the Optionholder’s estate, by a person who acquired the right to exercise the Option by bequest or inheritance or by a person designated to exercise the option upon the Optionholder’s death pursuant to subsection 6(e) or 6(f), but only within the period ending on the earlier of (1) the date eighteen (18) months following the date of death (or such longer or shorter period specified in the Option Agreement, which, for Options granted prior to the Listing Date, shall not be less than six (6) months) or (2) the expiration of the term of such Option as set forth in the Option Agreement. If, after death, the Option is not exercised within the time specified herein, the Option shall terminate. (l) 認股權人之死亡 在以下情況:(i) 認股權人終止持續任職服務係因其死亡;或(ii) 認股權人之死亡係於認股權合約所定期間內(如有),但晚於因死亡以外原因所致之認股權人終止其持續任職服務後。認股權得由認股權人之遺產管理人行使(於認股權人死亡當時被授權可行使之範圍內),遺產管理人得為經由遺囑(贈)或繼承取得認股權行使權利者,或因為認股權人之死亡,依本計畫第6 (e)或(f) 條指定行使認股權之人。但前開得行使之期間,僅限於以下期間最先終止之時點前:(1) 認股權人死亡後十八(18)個月當日(或認股權合約內有特定較長或較短之期間,若係於上市日前已授予之認股權,期間將不應短於六(6)個月);或(2) 本計畫所約定之認股權期間屆滿。如在死亡後,認股權並未於上開特定期間內被行使,認股權應予終止。(m)Right of First Refusal. The Option may, but need not, include a provision whereby the Company may elect, prior to the Listing Date, to exercise a right of first refusal following receipt of notice from the Optionholder of the intent to transfer all or any part of the shares exercised pursuant to the Option. Except as expressly provided in this subsection 6(m), such right of first refusal shall otherwise comply with any applicable provisions of the Bylaws of the Company.(m) 優先購買權 認股權得(但非必要)包含優先購買權條款,使得本公司得於上市日前,即選擇在接收到認股權人通知有意移轉全部或部分因行使認股權而獲得之股份時行使優先購買權。除本條款有特別明確約定外,上開優先購買權皆須符合本公司應適用之相關附則。7.RESTRICTED SHARES7. 限制型股份(a)Restricted Share Agreement. . Each grant of Restricted Shares under the Plan shall be evidenced by a Restricted Share Agreement between the recipient and the Company. Such Restricted Shares shall be subject to all applicable terms of the Plan and may be subject to any other terms that are not inconsistent with the Plan. The provisions of the various Restricted Share Agreements entered into under the Plan need not be identical.(a) 限制型股份合約 本計畫所授予之限制型股份皆須以存在於接收者與本公司間之限制型股份合約證明之。相關限制型股份應適用本計畫應適用之條款且可能適用其他與本計畫不一致之條款。因本計畫所簽署之限制型股份合約之條款不一定需要完全一致。(b)Payment for Awards. Subject to the following sentence, Restricted Shares may be sold or awarded under the Plan for such consideration as the Board may determine, including (without limitation) cash, cash equivalents, full-recourse promissory notes, past services and future services. To the extent that an Award consists of newly issued Restricted Shares, the Award recipient shall furnish consideration with a value not less than the par value of such Restricted Shares in the form of cash, cash equivalents, or past services rendered to the Company (or a Parent or Subsidiary), as the Board may determine.(b) 獎勵之對價 在以下之情況,限制型股份得於本計畫下被出售或獎勵,根基於董事會決定之對價,包括現金、約當現金、具完全追索權之本票、過去及未來之服務。在獎勵包含新發行限制型股份之範圍內,獎勵之接收者應提供以現金、約當現金或過去曾提供予本公司(或母公司或子公司)之服務之形式,由董事會決定不低於相關限制型股份之票面金額之對價。(c)Vesting. A Restricted Share Agreement may provide for accelerated vesting in the event of the Participant’s death, disability or retirement or other events. The Board may determine, at the time of granting Restricted Shares of thereafter, that all or part of such Restricted Shares shall become vested in the event that a change in control occurs with respect to the Company.(c) 行使 任一限制型股份之授予得附行使條件或不附行使條件。行使權得於滿足限制型股份合約約定的條件下一次或分階段發生。限制型股份合約得於參與者死亡、無行為能力或退休或其他情況下,提供加速行使條款。董事會得在授予限制型股份之當時,決定該等限制型股份在本公司發生控制權移轉時變為全部或一部得行使之。。(d)Voting and Dividend Rights. The holders of Restricted Shares awarded under the Plan shall have the same voting, dividend and other rights as the Company’s other stockholders. A Restricted Share Agreement, however, may require that the holders of Restricted Shares invest any cash dividends received in additional Restricted Shares. Such additional Restricted Shares shall be subject to the same conditions and restrictions as the Award with respect to which the dividends were paid.(d) 投票及分派股息之權利 本計畫下之限制型股份持有人應與其他本公司股東一樣,具備相同之投票、分派股息及其他權利。然而,限制型股份合約得要求限制型股份之持有人將現金股息投資於額外的限制型股份。相關額外的限制型股份就股息之分派,應適用如同獎勵一樣之條件及限制。(e)Restrictions on Transfer of Shares. Restricted Shares shall be subject to such rights of repurchase, rights of first refusal or other restrictions as the Board may determine. Such restrictions shall be set forth in the applicable Restricted Share Agreement and shall apply in addition to any general restrictions that may apply to all holders of Shares.(e) 移轉股份之限制 限制型股份應適用相關買回權、優先購買權或董事會決定之其他限制。相關限制應該被制定於可適用之限制型股份合約,且為其他一般限制條款之其他額外限制。8.STOCK UNITS.8. 股份單位(a)Stock Unit Agreement. Each grant of Stock Units under the Plan shall be evidenced by a Stock Unit Agreement between the Participant and the Company. Such Stock Units shall be subject to all applicable terms of the Plan and may be subject to any other terms that are not inconsistent with the Plan. The provisions of the various Stock Unit Agreements entered into under the Plan need not be identical. Each Award of Stock Units may or may not be subject to vesting. Vesting shall occur, in full or in installments, upon satisfaction of the conditions specified in the Stock Unit Agreement. A Stock Unit Agreement may provide for accelerated vesting in the event of the Participant’s death, disability or retirement or other similar events. The Board of Directors, may determine, at the time of granting Stock Units or thereafter, that all or part of such Stock Units shall become vested in the event that a change in control occurs with respect to the Company.(c) 行使條件 任一股份單位之授予得附行使條件或不附行使條件。行使權得於滿足股份單位合約約定的條件下一次或分階段發生。股份單位合約得於參與者死亡、無行為能力或退休或其他情況下,提供加速行使條款。董事會得在授予股份單位之當時,決定該等股份單位在本公司發生控制權移轉時變為全部或一部得行使之。(d)Voting and Dividend Rights. The holders of Stock Units shall have no voting rights. Prior to settlement or forfeiture, any Stock Unit awarded under the Plan may, at the Board’s discretion, carry with it a right to dividend equivalents. Such right entitles the Participant to be credited with an amount equal to all cash dividends paid on one Share while the Stock Unit is outstanding. Dividend equivalents may be converted into additional Stock Units. Settlement of dividend equivalents may be made in the form of cash, in the form of Shares, or in a combination of both. Prior to distribution, any dividend equivalents which are not paid shall be subject to the same conditions and restrictions (including without limitation, any forfeiture conditions) as the Stock Units to which they attach.(d) 投票及分派股息之權利 股份單位持有人並無投票權。在結算或喪失權利之前,任何在本計畫下被獎勵之股份單位,得在董事會裁量範圍內,伴隨類似股息之等值物之權利。上開權利將授與參與者得收取相當於股份單位發行時每一股份所得享有之所有現金股息之數額。股息等值物得被轉換成額外的股份單位。股息等值物之結算將以以現金、股票或綜合兩者之形式為之。在分派之前,任何尚未被支付之股息等值物應適用與其所附麗之股份單位相同之條件及限制(包括但不限於任何喪失之條件)。(e)Form and Time of Settlement of Stock Units. Settlement of vested Stock Units may be made in the form of (a) cash, (b) Shares or (c) any combination of both, as determined by the Board at the time of grant (as reflected in the Stock Unit Agreement) or thereafter or, in the event of a merger or reorganization, as may be set forth in the agreement of merger or reorganization. Until an Award of Stock Units is settled, the number of such Stock Units shall be subject to adjustment pursuant to Section 12.(e) 股份單位之結算形式與時間:得行使的股份單位將由董事會於授予時(如同股份單位合約之約定)或於其後,或在公司發生合併或重組時合併或重組契約所載的情況,以下列方式進行結算:(a) 現金,(b) 股份,或(c) 兩者之綜合。在股份單位被結算前,相關股份單位之數量應依照本計畫第12條進行調整。(f)Death of Participant. Each holder of a Stock Units Award under the Plan shall designate one or more beneficiaries for this purpose by filing the prescribed form with the Company. A beneficiary designation may be changed by filing the prescribed form with the Company at any time before the Participant’s death. Stock Units represent an unfunded and unsecured obligation of the Company, subject to the terms and conditions of the applicable Stock Unit Agreement.(g) 債權人之權利 股份單位持有人應僅有本公司一般債權人之權利。股份單位為本公司未籌資及未附擔保之義務,並適用股份單位合約所載之條款及條件。(h)Deferral of Awards. A Participant for whom such an account is established shall have no rights other than those of a general creditor of the Company. Such an account shall represent an unfunded and unsecured obligation of the Company and shall be subject to the terms and conditions of the applicable agreement between such Participant and the Company. If the deferral of Awards is permitted or required, the Board (in its sole discretion) may establish rules, procedures and forms pertaining to such Awards, including (without limitation) the settlement of deferred compensation accounts established under this Section 8.依據本計畫第8條設立之展期報酬帳戶將被支付董事會決定之利息或其他形式的投資回饋。相關帳戶所歸屬之參與者,並無優於其他本公司一般債權人之權利。相關帳戶是本公司未籌資及未附擔保之義務,並適用參與者及本公司間所存可適用合約所載之條款及條件。如果獎勵之展延係被允許或被要求,董事會(以其自身裁量權限)可以建立有關於相關獎勵之規則、程式和形式,包括(但不限於)依據本計畫第8條所建立之展延報酬帳戶之授與。9.COVENANTS OF THE COMPANY.9本公司承諾事項(a)Availability of Shares. During the terms of the Options, the Company shall keep available at all times the number of shares of Common Stock required to satisfy such Awards.(a) 足夠之股份 認股權期間,本公司應隨時保有一定數量之普通股以滿足相關獎勵。(b)Securities Law Compliance. The Company shall seek to obtain from each regulatory commission or agency having jurisdiction over the Plan such authority as may be required to grant Awards and to issue and sell shares of Common Stock upon exercise or settlement of the Awards; provided, however, that this undertaking shall not require the Company to register under the Securities Act the Plan, any Award or any stock issued or issuable pursuant to any such Award. If, after reasonable efforts, the Company is unable to obtain from any such regulatory commission or agency the authority which counsel for the Company deems necessary for the lawful issuance and sale of stock under the Plan, the Company shall be relieved from any liability for failure to issue and sell stock upon exercise or settlement of such Awards unless and until such authority is obtained.(b) 證券法之遵循 本公司應依規定尋求獲取每一個對本計畫有管轄權之法令主管機關,於行使或授與獎勵時,對於授予獎勵或發行和銷售普通股之授權,然而此承諾並非要求本公司應依據有價證券法為本計畫、本計畫、任何獎勵或依據本計畫已發行或應發行之任何股份進行註冊(registration)。如果經過相當程度之努力,本公司仍然無法獲得相關公司顧問認為必要之法令主管機關對於依據本計畫合法發行及銷售股份所必要之授權,本公司不應承擔任何無法發行或銷售股份之責任,除非且直到獲得相關授權。10.USE OF PROCEEDS FROM STOCK.10.股份孳息之使用Proceeds from the sale of stock pursuant to Awards shall constitute general funds of the Company.依據獎勵出售股份之孳息應成為本公司一般資金。11.MISCELLANEOUS.11.其他約款(a)Acceleration of Exercisability and Vesting. The Board shall have the power to accelerate the time at which an Award may first be exercised or the time during which an Award or any part thereof will vest in accordance with the Plan, notwithstanding the provisions in the Award stating the time at which it may first be exercised or the time during which it will vest.(a) 加速行使 董事會有權加速第一次行使獎勵之時間,或依據本計畫得行使全部或任一部份獎勵之期間,即使獎勵之條款有載明第一次行使獎勵之時間,或得行使獎勵之期間。(b)Shareholder Rights. No Participant shall be deemed to be the holder of, or to have any of the rights of a holder with respect to, any shares subject to such Award unless and until such Participant has satisfied all requirements for exercise or settlement of the Award pursuant to its terms.(b) 股東權 沒有參與者應被認為係因相關獎勵而成為股份持有人,或擁有任何股份之權利,直到相關參與者已依據獎勵條款,滿足所有行使或結算獎勵之要求。(c)No Employment or other Service Rights. Nothing in the Plan or any instrument executed or Award granted pursuant thereto shall confer upon any Participant any right to continue to serve the Company or an Affiliate in the capacity in effect at the time the Award was granted or shall affect the right of the Company or an Affiliate to terminate (i) the employment of an Employee with or without notice and with or without cause, (ii) the service of a Consultant pursuant to the terms of such Consultant’s agreement with the Company or an Affiliate or (iii) the service of a Director pursuant to the Bylaws of the Company or an Affiliate, and any applicable provisions of the corporate law of the state in which the Company or the Affiliate is incorporated, as the case may be.(c) 沒有任何受雇或其他服務之權利 本計畫、依本計畫簽署之檔案或授予之獎勵,並無賦予參與者於獎勵授予時,任何繼續服務於本公司或關係企業之權利,或是影響本公司或關係企業以下之終止權: (i) 無須預告通知或無理由終止僱傭關係;(ii) 依據本公司或關係企業與顧問間之顧問合約條款終止顧問服務;或(iii) 依據本公司或關係企業之規章,或本公司或關係企業成立地之州公司法其他適用規定,而終止董事服務。(d)Incentive Stock Option $100,000 Limitation. To the extent that the aggregate Fair Market Value (determined at the time of grant) of stock with respect to which Incentive Stock Options are exercisable for the first time by any Optionholder during any calendar year (under all plans of the Company and its Affiliates) exceeds one hundred thousand dollars ($100,000), the Options or portions thereof which exceed such limit (according to the order in which they were granted) shall be treated as Nonstatutory Stock Options.(d) 激勵型認股權$100,000之限制 如在任一日曆年度(所有本公司或關係企業之計畫下),任一認股權人第一次可行使之激勵型認股權,其公平市價 (依授予時點決定) 總額超過十(100,000)萬元,該超過部分之認股權(根據授予之順序)應以非法定型認股權形式視之。(e)Investment Assurances.
